Andrew Bauer serves as outside general counsel to companies of all sizes, with a particular focus on startups and technology-driven businesses. A trusted advisor and problem solver, he handles the full spectrum of corporate legal needs, helping clients navigate complex commercial, governance, regulatory, and compliance matters, and regularly advises on internal investigations and employment issues.
Andrew brings deep in-house experience from venture-backed fintech and AI companies, including Better Mortgage, Notable Finance, and Pagaya Technologies, where he served as General Counsel and Deputy General Counsel. His background in highly regulated industries, such as lending, mortgage, real estate, crypto and digital assets, AI, and investment management, makes him especially valuable to fast-growing companies operating in sensitive sectors.
Earlier in his career, Andrew served as an Assistant U.S. Attorney in the Southern District of New York, where he was part of the Securities and Commodities Fraud Task Force. As a result, Andrew brings a unique blend of perspectives to his work. He understands the pace and pressures of fast-moving companies, regulatory sensitivities, litigation risk, and the business realities that drive decision-making. This combination allows him to deliver practical, business-oriented advice grounded in real-world experience. He also thrives as a crisis manager for companies and individuals facing high-stakes events—attacks by competitors, bet-the-company litigation, government or regulatory investigations, and other existential threats.
Combining corporate, enforcement, and litigation experience, Andrew offers comprehensive legal support across commercial transactions, employment law, dispute resolution, product counseling, intellectual property, and data privacy. He is admitted to practice in New York, the Southern and Eastern Districts of New York, and the Second and Fifth Circuits.
When not working, Andrew is most likely to be found in the dugout or on the sidelines coaching, watching, or playing sports with his kids, especially baseball, basketball, and soccer.
