This arrangement is based on a variety of pricing options customized to them, enabling clients to effectively manage their legal budget while receiving the legal expertise they need.
Service Tiers
Each client that opts into this package will be assigned a:

Corporate Governance
- Attendance at quarterly board meetings by General Counsel or Deputy General Counsel, drafting corporate minutes, maintaining corporate minute books
- Preparation of annual audit letters, annual franchise tax reports, annual foreign qualification records
Equity Administration
- Stock option plan administration and issuance of option agreements, subscription agreements, and restricted stock grant agreements, profits interest grants – preparation of form of plan, if not already in place
- Cap table management, including but not limited to maintaining Carta

- Negotiation of primary real estate lease and periodic renewals and amendments
- Periodic trademark filings, including applications and procedural responses to office actions
- Early-stage dispute resolution, including counseling, initial cease and desist and/or demand letters
- Basic tax counseling relating to the support of any of the services included in Tiers 1 & 2
Labor, Employment, Benefits
- Employment matters, including drafting and review of employment agreements, offer letters, employment policies, termination issues, and drafting and reviewing of consulting agreements to independent contractors, periodic review and update to employee handbook/manual upon request
- Overseeing intellectual property assignment agreements and restrictive
covenant agreements for personnel - Basic employment and benefits counseling
- Drafting, reviewing, revising, negotiating severance agreements
Public Company Reporting
- Review and revise periodic reports with the SEC, including Annual Report on Form 10-K and Quarterly Reports on Form 10-Q
- Review and revise routine Proxy Statement (including Compensation Discussion and Analysis and Say on Pay proposals), related proxy material, and annual report to stockholders for annual meeting of stockholders
- Prepare, or review and revise, and file with the SEC, all Current Reports on Form 8-K as necessary
- Review and revise press releases, including quarterly earnings releases and earnings call scripts
- Advice regarding Regulation FD and other public disclosure issues
- Advice on NASDAQ or NYSE listing, as applicable, and compliance issues
- Prepare and/or review and revise, and provide advice, with respect to preparation and filing of Forms 3, 4, and 5, as applicable
